1. Definitions

For the purposes of these Terms and Conditions:

"ULUstory" refers to ULUstory, PBC, the legal entity that operates ULUstory.com and provides the services described in this Agreement.
"Site" refers to ULUstory.com and all associated webpages.
"Services" refer to the consultations, workshops, and AI-powered tools provided by ULUstory, PBC through ULUstory.com.
"AI Tools" refer to ULUalpha, ULUesq, and the Storyweaver app offered on the Site.
"User" refers to any individual accessing or using the Site or Services.
"User-Generated Content" refers to any content, including but not limited to text, graphics, images, and data, that you submit, upload, publish, or otherwise make available through the Site or Services.

2. Acceptance of Terms

By accessing or using ULUstory.com (the "Site"), including but not limited to our consultations, workshops, and AI-powered storytelling tools (collectively, the "Services"), you agree to these Terms and Conditions. If you do not agree with these terms, you must not use our Services or access the Site.

3. Services Provided

ULUstory.com offers the following services:

Consultations: Personalized storytelling guidance and strategy sessions.
Workshops: Educational and interactive sessions to enhance storytelling skills.
AI-Powered Tools: Access to our proprietary AI storytelling tools—ULUalpha, ULUesq, and Storyweaver—designed to create, enhance, and refine stories.

We reserve the right to modify, discontinue, or alter any aspect of our Services at any time without prior notice.

4. User Eligibility

You must be at least 18 years old or have parental/guardian consent to use our Services. By using our Site, you represent and warrant that you meet this eligibility requirement.

5. Account Registration

Access to certain features of ULUstory.com, such as the AI-powered tools, may require you to create an account. When creating an account, you must:

Provide accurate, current, and complete information.
Maintain the confidentiality of your account credentials.
Notify us immediately of any unauthorized use of your account.

We are not liable for any loss or damage arising from your failure to secure your account.

6. Payment and Refund Policy

For paid consultations, workshops, and access to premium tools:

Consultations: Payment must be made in full at the time of booking. Cancellations made at least 48 hours before the session may qualify for a full refund. No refunds will be issued for cancellations made less than 48 hours in advance or for no-shows.
Workshops: Payment must be made in full at the time of booking. Refunds are provided only if cancellation occurs at least 7 days before the workshop date. No refunds will be issued for cancellations made less than 7 days in advance or for no-shows.
AI-Powered Tools: Subscriptions are non-refundable unless otherwise stated in the specific tool’s terms. Please review the individual terms for each tool before subscribing.

7. Use of AI-Powered Tools

Our AI-powered storytelling tools are designed to assist with creative processes. By using these tools, you agree to the following:

You retain ownership of your input data and any AI-generated content, subject to compliance with applicable copyright laws.
You grant ULUstory, PBC a non-exclusive, royalty-free license to use your input data to improve the functionality and performance of our Services.
ULUstory does not guarantee the accuracy, originality, or reliability of AI-generated content. The output is for informational or creative purposes only and may require further refinement.
You agree not to use AI-generated content for any unlawful, defamatory, harmful, or unethical purposes, including but not limited to plagiarism, hate speech, or infringement of third-party rights.

8. Intellectual Property

8.1 ULUstory Content

All content on ULUstory.com, including but not limited to text, graphics, logos, designs, and software, is the property of ULUstory, PBC, or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from our content without prior written consent.

8.2 User-Generated Content

When you submit, upload, publish, or otherwise make available User-Generated Content through the Site or Services, you agree to the following:

You retain ownership of any User-Generated Content you create, subject to the rights you grant to ULUstory, PBC as described below.
By submitting content, you grant ULUstory, PBC a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, display, distribute, and create derivative works of your User-Generated Content for the purpose of providing and improving our Services, and, only with your express written approval for marketing, and other related business purposes.
You represent and warrant that:
- You own or have the necessary rights to submit the User-Generated Content.
- The User-Generated Content does not infringe, misappropriate, or violate any third-party intellectual property or other rights.
- The User-Generated Content complies with these Terms and applicable laws.

ULUstory reserves the right to remove or modify User-Generated Content that violates these Terms or is otherwise objectionable at our sole discretion.

9. Privacy and Data Protection

Our use of your data is governed by our Privacy Policy, which outlines how we collect, use, and protect your information. By using our Services, you agree to our data practices as described in the Privacy Policy. Please review our Privacy Policy for more details.

10. Prohibited Activities

When using our Site or Services, you agree not to:

Use our tools or services for unlawful, harmful, or unethical purposes.
Attempt to reverse-engineer, modify, or disrupt the functionality of our AI tools.

Use AI-generated content or User-Generated Content for unlawful, defamatory, harmful, or unethical purposes, including but not limited to plagiarism, hate speech, or infringement of third-party rights.

11. Limitation of Liability

To the fullest extent permitted by law:

ULUstory, PBC, and its affiliates are not liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our Services.
This includes, but is not limited to, issues related to AI-generated content, consultations, or workshops.

12. Indemnification

You agree to indemnify and hold ULUstory, PBC harmless from any claims, damages, or expenses arising from your use of our Services, violation of these Terms, or infringement of intellectual property rights.

13. Modifications to Terms

We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Site after changes constitutes your acceptance of the new Terms.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms and Conditions or your use of the Services shall be resolved through binding arbitration in Westchester County, New York, in accordance with the rules of the American Arbitration Association. Both parties waive their right to a jury trial or to participate in a class action.
